1. Payment agency (agent-of-payee)

You appoint Thumper as your limited agent solely to collect buyer payments on your behalf. A buyer's payment to Thumper discharges the buyer's obligation to you — your recourse for collected funds is against Thumper, not the buyer. Funds are held and settled by Stripe and its banking partners under your Stripe Connected Account Agreement; Thumper never takes custody.

2. Commission and earnings

The platform commission is 20% of the sale price. Your net (80%) accrues per sale and matures after the refund window; sales tax is collected on top and platform-remitted — it never reduces your net.

3. Payouts, verification, sanctions

You can list and accrue immediately; identity verification (Stripe KYC) and a W-9/W-8 tax form are required before your first payout. We screen sellers against sanctions lists from your first sale — matches suspend accrual pending review. As an alternative to cash payout you may elect to convert earnings into non-refundable, non-cashable platform credits (a terminal election, reported as income at fair value).

4. Refunds, chargebacks, clawback

The platform refund policy is uniform and binding — you cannot deny a policy refund. Refunded or charged-back sales are reversed from your pending balance, and if already paid out, are recovered by transfer reversal or offset against future earnings. You authorize these clawbacks.

5. License representations and attestation

For every listing version you make ten sworn representations (ownership/licensing, no infringement, accurate license declaration, redistribution and commercial-sale rights, lawful training data, export compliance, passthrough-term honoring) and complete a structured disclosure. Misrepresentation is an integrity strike: strikes suspend accrual and repeated strikes end the selling relationship. Automated license scanning is a floor, not a substitute — a prohibited scan result cannot be overridden by attestation.

6. Enforcement and structure changes

Listings are subject to content policy review, DMCA takedown, and the platform killswitch. You pre-authorize a future migration of the marketplace to a merchant-of-record structure on notice, with your economics unchanged. See the Prohibited Content Policy.
